Terms of Service
These terms cover the use of this website and set out, in general, how we work. The specifics of any engagement are agreed separately and in writing before work begins.

About these terms
This website is published by Growth, an independent digital and performance marketing agency operating remotely from Pakistan and working with businesses in the United States and the United Kingdom. In these terms, "we", "us" and "our" mean Growth; "you" means the person or business reading this page or engaging us.
The website is informational
Everything on this website — descriptions of services, pricing guidance, examples of work, articles and downloads — is published for information. It is an invitation to begin a conversation, not an offer capable of acceptance, and nothing on this site forms a contract between us.
Submitting the contact form does not engage us, does not reserve capacity, and does not oblige either of us to proceed. It starts a conversation, nothing more.
We take care to keep the site accurate and current, but we do not warrant that it is free of error or omission, or that it will be available without interruption. We may change, suspend or withdraw any part of it at any time.
How an engagement is formed
We only begin work under a separate written agreement. Before anything starts, we agree with you, in writing, the scope of the work, what will be delivered, the fee, the billing period and anything either side needs from the other. That written scope and price is the contract between us. These terms sit behind it and give way to it wherever the two differ.
Work outside the agreed scope is not assumed. If you ask for something the scope does not cover, we will tell you what it involves and what it costs, and we will agree it in writing before doing it.
Fees and billing
Fees are billed monthly in advance unless the written agreement says otherwise. The fee is a flat amount agreed before work begins; it is not a percentage of your advertising budget, and it does not change because your budget does.
Certain costs sit outside our fee entirely and are not included in it.
- Advertising spend — paid to the advertising platforms, on your own accounts
- Software licences and subscriptions — paid to the software providers
- Hosting, domains and telephone numbers — paid to the relevant providers
These are billed to you directly by those third parties, on their own terms, at their own rates, and on their own schedule. We take no commission or rebate on them. Because those accounts are in your name, you control what is spent on them and you are responsible for paying them; if a platform suspends or restricts an account of yours for non-payment or for its own policy reasons, the effect on the work is outside our control.
Fees are exclusive of any taxes or duties that apply, and of any bank, card or transfer charges. Where an invoice is not paid when due, we may pause work on reasonable notice until it is settled.
What we need from you
The work depends on things only you can provide. So that we can do what we have agreed, you undertake to:
- Give us the access we need to the accounts, platforms and tools the work involves, and keep that access in place
- Give us information that is accurate, complete and not misleading, and tell us when something material changes
- Name someone who can give approvals and decisions, and respond within a reasonable time when we ask for them
- Hold the rights to any brand, content, creative or data you give us to use, and be entitled to pass those rights to us for that purpose
- Meet the legal and regulatory requirements that apply to your own business, products, claims and advertising
Where an approval, an access credential or a piece of information is delayed, timelines move with it. We will tell you when that is happening rather than let a deadline pass quietly.
Ownership of accounts, data and work
You own your business. Advertising accounts, CRM accounts, telephone numbers, domains, contact records and the data in them are created in your name and remain yours throughout and after the engagement. We hold access to do the work; we do not hold them as leverage.
Creative, campaigns, copy, landing pages, automations and documentation produced specifically for you under an engagement belong to you once the fees covering that work have been paid. Nothing is withheld to make leaving difficult, and on request at the end of an engagement we will hand over documentation and remove our own access.
What we do not transfer is our own general know-how, methods, internal templates, tooling and processes, and any third-party software we use in the course of the work. Those remain ours or the property of their owners, and your rights in them are limited to what the relevant licence provides. Where we have built something for you that rests on one of our internal templates, you have a full right to use, change and keep using the delivered work for your own business.
Any material you give us — your brand, content, data and creative — remains yours. You grant us permission to use it only so far as is needed to carry out the work.
Confidentiality
Each of us will treat the other's confidential information as confidential. That covers commercial information, performance data, strategy, pricing, customer information and anything else disclosed in confidence or that a reasonable person would understand to be confidential.
Neither of us will disclose the other's confidential information to anyone else, except to people who need it in order to carry out the work and who are themselves bound to keep it confidential, or where disclosure is required by law. This obligation does not apply to information that is already public through no fault of the person disclosing it, that was already lawfully known, or that is independently developed without reference to the other's information. It continues after the engagement ends.
We will not name you as a client or describe your results publicly without your permission.
Results
We will carry out the work with reasonable skill and care, using methods we believe are the right ones for your situation, and we will tell you plainly what we see in the numbers, including when it is not what either of us hoped.
What we cannot do is promise a particular outcome. Marketing performance depends on factors outside our control — among them your pricing and offer, your market and competitors, seasonality, the behaviour and policy changes of advertising platforms, the quality and speed of your own sales follow-up, your budget, and the general economic conditions you trade in. Accordingly, we make no guarantee of any specific result, ranking, volume of enquiries, conversion rate, cost per acquisition, revenue or return on spend, and nothing said in a call, a proposal, an audit or on this website should be read as one. Any figures, examples or projections discussed are illustrative rather than promised.
Liability
Nothing in these terms limits or excludes liability where the law does not allow it to be limited or excluded — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to that, and to the extent permitted by law: neither of us is liable to the other for loss of profit, loss of revenue, loss of anticipated savings, loss of business or goodwill, loss or corruption of data, or for any indirect or consequential loss, however it arises. We are not liable for the acts, omissions, outages, policy decisions, account suspensions or price changes of third-party platforms and providers, nor for loss arising from information you gave us that was inaccurate or incomplete, nor for decisions you take on your own account.
Subject again to the first paragraph of this section, our total liability arising out of or in connection with an engagement, whether in contract, tort including negligence, or otherwise, is limited to the fees you have paid us for that engagement in the three months before the event giving rise to the claim. Advertising spend, software licences, hosting and other third-party costs are not fees paid to us and do not count towards that figure.
The written agreement for your engagement may set out a different limit; where it does, that limit applies.
Ending an engagement
Either of us may end an engagement by giving written notice to the other. The notice period is the one stated in your written agreement; where none is stated, it is 30 days. Fees already invoiced for a billing period in progress remain payable, and work already delivered remains payable for.
Either of us may end an engagement immediately by written notice if the other commits a material breach that is not put right within a reasonable time of being asked to, or becomes insolvent or unable to pay its debts.
On termination, we will hand over documentation for the work done, return or delete your confidential information on request except where we must retain it, and remove our access to your accounts. Your accounts, data and delivered work stay with you. The sections on confidentiality, ownership, liability and any other provision that by its nature should survive continue to apply after the engagement ends.
General
Neither of us may transfer an engagement to someone else without the other's written agreement. We may use trained specialists and subcontractors to carry out the work; where we do, we remain responsible to you for it. Nothing in these terms makes either of us the partner, agent or employee of the other, and no one other than the two of us has any right to enforce them.
If any part of these terms is found to be unenforceable, the rest continues to apply. A failure to insist on something at one point does not waive the right to insist on it later.
Neither of us is responsible for a failure to perform caused by events beyond reasonable control.
We may update these terms from time to time; the version on this page is the current one, and the "Last updated" date above tells you when it last changed. Changes do not alter the written agreement covering an engagement already under way.
Governing law
The governing law and the courts that have jurisdiction are specified in the written agreement for each individual engagement, and are agreed with you before work begins. We do not set them on this page, because the right answer depends on where you are and how the engagement is structured. If you would like to discuss this before signing anything, please raise it and we will.
